Terms & Conditions

Effective date: October 11, 2026

These Terms and Conditions ("Terms") govern your access to and use of the websites, software, enterprise resource planning (ERP) platforms, cloud services, applications, support services, and other products provided by BytesWave Technologies LLC ("BytesWave," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you confirm that you are authorized to accept these Terms on its behalf.

In these Terms, "Customer" means the individual or organization that accesses or subscribes to the Services, and "Authorized Users" means the people permitted by the Customer to use them.

1. Eligibility and Accounts

You must be legally capable of entering into a binding agreement to use the Services. You are responsible for providing accurate account information, protecting login credentials, and all activity under your account. Notify us promptly of suspected unauthorized access or security incidents. Accounts may not be sold, transferred, or shared except as permitted by the applicable subscription or order form.

2. Services and Customer Responsibilities

Subject to these Terms and any applicable order form, BytesWave grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the applicable subscription period for your internal business operations.

You are responsible for:

  • configuring the Services appropriately for your operations;
  • maintaining accurate, lawful, and up-to-date data;
  • obtaining all required permissions, notices, and consents; and
  • maintaining suitable backups of your data.

ERP features, integrations, reports, and workflows support your operations but do not replace your responsibility for business, financial, tax, employment, legal, or regulatory decisions.

3. Acceptable Use

You must not, and must not permit any third party to:

  • use the Services unlawfully or in violation of third-party rights;
  • copy, modify, distribute, sell, lease, sublicense, or commercially exploit the Services except as authorized;
  • reverse engineer, decompile, disassemble, or attempt to discover source code, except where prohibited by law;
  • upload malware, harmful code, unlawful content, or infringing content;
  • interfere with, disrupt, probe, scan, or circumvent security measures; or
  • use the Services in a way that could damage, overburden, or impair the Services or another user's access.

4. Subscriptions, Fees, and Taxes

Paid Services are subject to the fees, billing cycle, usage limits, and terms stated in the applicable order form or subscription plan. Unless otherwise agreed in writing, fees are payable in advance and are non-refundable except where required by law or expressly stated in an order. You authorize BytesWave or its payment provider to charge the selected payment method for recurring fees and applicable usage charges. You are responsible for applicable taxes, duties, levies, and governmental charges, excluding taxes based on BytesWave's net income.

If payment is overdue, BytesWave may pursue collection, legal action, and any other remedies available under applicable law. The Customer remains responsible for all fees accrued before and after any breach or non-payment, together with reasonable costs of collection where permitted by law.

5. Changes, Availability, and Support

BytesWave may improve, modify, or update the Services. We will use reasonable efforts to avoid materially reducing the core functionality of a paid Service during an active term. Beta, preview, or experimental features may be changed or discontinued without warranty.

We aim to provide reliable availability, but availability may be affected by upgrades, security measures, provider failures, or events beyond our reasonable control. Support and service-level commitments apply only when expressly included in an order form or service-level agreement.

6. Customer Data and Privacy

As between the parties, you retain all rights in data submitted to the Services ("Customer Data"). You grant BytesWave a limited right to host, process, transmit, and use Customer Data only as necessary to provide, secure, maintain, troubleshoot, and improve the Services, comply with law, and perform our obligations.

BytesWave maintains reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. You are responsible for determining whether the Services meet your legal and regulatory requirements and for providing required notices and obtaining required consents.

7. Integrations and Third-Party Services

The Services may connect with third-party applications, platforms, payment providers, hosting providers, or other services. Third-party services are governed by their own terms and privacy policies, and BytesWave is not responsible for their availability, content, security, or performance. You are responsible for maintaining the required third-party accounts and permissions.

8. Intellectual Property and Confidentiality

BytesWave and its licensors retain all rights, title, and interest in the Services, Documentation, software, designs, branding, features, improvements, and related technology, excluding Customer Data. No rights are granted except those expressly stated in these Terms. Feedback or suggestions may be used by BytesWave without restriction or compensation.

Each party will protect the other party's non-public information that is identified as confidential or should reasonably be understood to be confidential, use it only for purposes under these Terms, and disclose it only to people or service providers who need to know it and are bound by confidentiality obligations. These obligations do not apply to information that is public without breach, independently developed, already known without restriction, or lawfully received from another source.

9. Warranties and Disclaimers

Each party represents that it has authority to enter into these Terms. BytesWave will provide the Services in a professional manner consistent with generally accepted industry practices. Except as expressly stated, the Services are provided "as is" and "as available." To the maximum extent permitted by law, BytesWave disclaims implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Services will meet every business requirement or that all data will always be accurate, complete, or available.

10. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data, arising out of or related to these Terms.

To the maximum extent permitted by law, BytesWave's total aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable for the Services giving rise to the claim during the twelve months before the event giving rise to the liability. These limitations do not apply to liability that cannot legally be limited or excluded.

11. Indemnification

You will defend, indemnify, and hold harmless BytesWave and its officers, employees, and service providers from claims, losses, damages, liabilities, and reasonable expenses arising from Customer Data, your or an authorized user's misuse of the Services, or your breach of these Terms or applicable law.

12. Suspension and Termination

Either party may terminate these Terms or an affected subscription for a material breach that remains uncured thirty (30) days after written notice. BytesWave may immediately suspend or terminate access where reasonably necessary to protect the Services, users, or data, address a security or legal risk, or where fees remain unpaid after notice.

Upon termination, your right to use the Services ends. Subject to applicable law and the relevant plan, BytesWave will make Customer Data available for export for a reasonable period, after which we may delete it under our retention practices. Provisions concerning fees, intellectual property, confidentiality, disclaimers, liability, indemnification, and dispute resolution survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws applicable in the jurisdiction where BytesWave is registered, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve disputes through business discussions. Unresolved disputes will be submitted to the competent courts of that jurisdiction, unless the parties agree otherwise in writing.

14. General Terms

These Terms, applicable order forms, and referenced policies constitute the entire agreement regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without BytesWave's prior written consent, except in connection with a merger or sale of substantially all assets. BytesWave may assign these Terms in connection with a corporate transaction or to an affiliate. Neither party is liable for delay caused by events beyond its reasonable control.

We may update these Terms from time to time. If an update materially affects your rights or obligations, we will provide reasonable notice. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
